Coffee Contracts Explained (2026 Edition)

Key Clauses Every Coffee Buyer Should Understand

A well-drafted contract is the foundation of a successful coffee import transaction. The European Standard Coffee Contract (ESCC) is the industry benchmark, providing a balanced framework that protects both buyer and seller. Understanding each clause—and knowing what to negotiate—is essential for minimising risk and ensuring smooth execution.

The anatomy of a standard coffee contract

1. Specification clause (product description). This is the most critical clause for quality control. It must explicitly state:

• Species: Arabica or Robusta (for Fine Robusta, explicitly note "Robusta").
• Grade: "Fine Robusta 80+ per CQI protocols" or similar language referencing the standard.
• Defect tolerance: Zero primary defects, less than 5 secondary defects per 300g.
• Moisture content: Typical range 10–12%.
• Crop year: e.g., "2025–2026 crop."

Critical negotiating point: Reject any contract that uses vague language like "high quality" or "standard export grade." Demand specificity.

1. Quality clause (sampling and arbitration). This clause defines how quality will be measured and what happens if the delivered coffee does not meet the specification.

Key provisions:

• Contract sample: Both parties seal a 500g sample of the coffee at contract signing. This sample is stored in a hermetic bag and serves as the quality reference.
• Sampling procedure: Typically, random samples are drawn from 10% of the bags at the port of origin.
• Arbitration: In case of dispute, samples are sent to an independent laboratory (e.g., SGS, Cotecna) for cupping. The lab's score is binding unless serious procedural errors are proven.

Critical negotiating point: The contract should state that if the arbitration score deviates by more than 1 point from the contract sample, the buyer is entitled to a price reduction or rejection. The standard ESCC allows a 0.5-point tolerance—negotiate for at least 1 point.

1. Quantity clause. Specifies the total weight and tolerance:

• Total weight: e.g., "19,000 kilograms net weight."
• Tolerance: Typically +/- 5% in buyer's option (meaning the buyer can accept up to 5% more or less than the stated quantity without adjusting the price). Some contracts allow +/- 10%.
• Measurement unit: Weight in metric tonnes (1,000 kg) or 60-kilogram bags.

1. Price clause. Defines the purchase price and payment currency:

• Fixed price: A single price per tonne, locked at contract signing. Suitable for contracts of 3 months or less.
• Floating price: "Basis + futures" pricing. Example: "basis price = ICE robusta futures + $400/tonne premium." The final price is fixed when the buyer opens the Letter of Credit or at the time of shipping. This structure transfers price risk but may also allow gains if futures prices fall.
• Currency: Typically USD. If payment in other currencies is considered, explicitly state the exchange rate mechanism.

Critical negotiating point: For new relationships, insist on a fixed price to remove financial complexity. For long-term relationships, explore basis + futures to align with market benchmarks.

1. Shipping and delivery clause.

• Incoterms: FOB or CIF. State the port of loading (e.g., "FOB Ho Chi Minh City") and port of discharge (e.g., "Los Angeles, CA").
• Shipment period: Specify the latest shipment date—e.g., "no later than 15 January 2026." Avoid vague terms like "prompt shipment."
• Shipping notice: The seller must notify the buyer within a specified number of days (e.g., 3–5 days) after shipment with vessel name, ETA, and quantity.

1. Payment clause. Details how and when payment is made:

• Sight Letter of Credit (L/C): Payment upon presentation of shipping documents (Bill of Lading, invoice, etc.) to the issuing bank. The bank pays immediately after document verification.
• Usance L/C: Payment at a future date—e.g., 30, 60, or 90 days after shipment. This provides the buyer with financing.
• Telegraphic Transfer (T/T): Payment made directly from buyer's bank to seller's bank, typically on a schedule (e.g., 50% upfront, 50% on shipping). Used only for established relationships.

Critical negotiating point: For first-time trades, use a sight L/C. It protects both parties: the seller is assured of payment if they present correct documents, and the buyer's bank verifies documents before releasing funds.

1. Force majeure. This clause absolves either party from performance if an extraordinary event—war, natural disaster, strikes, government embargo—makes performance impossible. Key considerations:

• Duration: Most contracts allow 60–90 days before the contract is voided.
• Documentation: The affected party must provide official documentation of the event.
• Relevant to coffee: Port strikes, extreme weather, and political instability in origins are common force majeure triggers.

1. Dispute resolution and governing law. Specifies how disputes are resolved:

• Arbitration: Most coffee contracts use the London Coffee Trade Association, New York Coffee Exchange, or a specific arbitration institution.
• Governing law: Usually the law of the seller's country, the buyer's country, or a neutral third country (e.g., English law).

Critical negotiating point: Specify a recognised arbitration body and agree on arbitration costs—typically split 50/50 between parties.

Common pitfalls to avoid

Pitfall 1: Vague quality language.

Bad: "Coffee shall be of fair average quality."

Good: "Coffee is Fine Robusta scoring 80+ points per CQI protocols, with zero primary defects and fewer than five secondary defects per 300g sample."

Pitfall 2: Missing contract sample.

Always seal and sign a contract sample before shipment. Without it, you have no reference in a quality dispute. Store the sample in a cool, dark place in an airtight bag.

Pitfall 3: No arbitration clause.

If the contract lacks an arbitration clause, disputes must be resolved through court litigation—which is slow, expensive, and jurisdictionally complex. Arbitration is faster, cheaper, and industry-standard.

Pitfall 4: Unclear force majeure provisions.

If force majeure is not defined, a supplier could invoke "business difficulty" to delay shipment. Ensure the clause explicitly lists the events that qualify and specifies notification timelines.

Pitfall 5: Overly favourable terms to one party.

A contract that heavily favours one party is likely to be litigated or ignored. Seek balanced terms that provide fair protections for both sides. This builds trust and enables long-term relationships.

Contract signing checklist

Before signing any coffee contract, confirm the following:

• Product specification is precise, referencing CQI standards and defect limits.
• Contract sample has been sealed and signed by both parties.
• Quality arbitration procedure is defined, including tolerance levels and arbitration body.
• Quantity tolerance is specified (typically +/- 5% buyer's option).
• Payment method is clear and secure (sight L/C for new relationships).
• Incoterms and shipping period are explicitly stated.
• Force majeure provisions are reasonable and specific.
• Governing law and dispute resolution mechanism are acceptable to both parties.
